Overview
Mike is the head of the Real Estate Practice Group and part of the Corporate Practice Group. He has extensive experience in infrastructure and real estate projects, involving both horizontal and vertical structures, land and property transactions, including acquisition, sale consolidation, corporate and commercial M&A, corporate governance, and general corporate legal affairs for almost 20 years. His experience also extends to areas such as public-private partnerships, government bidding, and various cross-border corporate transactions and loan documentation. He sits as a member of the Board of Directors and acts as Corporate Secretary of various corporations.
Representative Work
- Acted as the Institutional and Legal Expert for the drafting of the Comprehensive Tourism Master Plan of Siargao Island and Corregidor Island
- Advised and structured several condominium projects in Makati City, San Juan City and Pasay City, as well subdivision projects in Davao and Surigao City, and other subdivision or condominium developments, project development involving both horizontal and vertical structures, including the drafting and submission of the request for ruling with the BIR, drafting of the master deed of restrictions, sale documents and assistance in the procurement of development permits, license to sell and compliance with other requirements of the Department of Human Settlements and Urban Development (DHSUD), assistance in procuring Environmental Compliance Certificate (ECC), drafting and review of all contracts involving the procurement of all aspects of the construction project, for design consultants, contractors and subcontractors, engineers and material and service suppliers
- Acted as lead counsel and adviser for various land consolidation projects in Malay, Aklan, Cagayan Province and other areas, including the conduct of due diligence audit and inventory of existing land rights and land values, conceptualization and implementation of the consolidation plan, resolution of various right-of way (ROW) issues, seller negotiations, preparation and closing of transfer documents, representation before the BIR and Registry of Deeds (RD) for the issuance and registration of new titles, and the Department of Agrarian Reform (DAR), Department of Agriculture (DA), Department of Environment and Natural resources (DENR) and Local Government Units (LGU) in relation to the Comprehensive Land Use Plan (CLUP), and all other necessary or required consents, approvals or authorizations
- Acted as lead counsel for PPP projects within and outside of Metro Manila and non-PPP modes like joint ventures between local government units or government owned and controlled corporation and private entities, including drafting of opinions on the legal framework, drafting and review of joint venture agreements, concession agreements, preparation of bid documents
- Drafting and submission of unsolicited proposals for a project with the Bureau of Customs, among other agencies of the national government as well as with the Province of Malay and various local government units, assistance and participation in public biddings for government projects, including assistance in the preparation and evaluation of eligibility and technical documents, attendance in pre-bid conferences and opening of bids, preparation of post-qualification requirements
- Registration with the Philippine Economic Zone Authority (PEZA), the Board of Investments (BOI), Cagayan Economic Zone Authority (CEZA) and Tourism Infrastructure and Enterprise Zone Authority (TIEZA)
