Overview
Denise is a member of the Corporate Practice Group. Her practice focuses on corporate organization, foreign investment, special registration, mergers and acquisitions, corporate restructuring, intellectual property and real estate transactions. She represents clients across a broad range of industries including telecommunications, media, entertainment, broadcasting, technology, renewable and non-renewable energy, BPOs, wholesale/retail distribution, and holding companies. She sits as a member of the Board of Directors and acts as Corporate Secretary of various corporations.
Representative Work
- Played a key role in establishing and expanding one of Australia’s largest BPO companies in the Philippines. This involved corporate structuring, securing PEZA registration and incentives, handling tax and regulatory compliance, and adherence to Philippine labor laws; advised on multiple mergers and acquisitions, including due diligence, contract negotiation, and regulatory approvals, while optimizing market positioning through strategic legal and tax considerations
- Advised and implemented the merger transaction of two (2) business processing outsourcing companies, including securing a Certificate of Non-Coverage from Compulsory Notification from the Philippine Competition Commission
- Advised and assisted on the large-scale acquisition and consolidation of real properties in connection with an unsolicited proposal by a client in the air sector, involving a project cost exceeding PhP700 billion
- Advised and assisted on the large-scale acquisition and consolidation of real properties along the Tarlac-Pangasinan-La Union Expressway
- Advised and structured the sale of a Multi-Billion-Peso Philippine distributor of kitchen equipment by a Japanese listed company
