Overview
Mikee’s practice focus includes corporate reorganization and compliance, taxation, estate planning and settlement, mergers and acquisitions, administrative intellectual property, real property transactions, special registrations, and data privacy. She has extensive experience in the settlement of tax assessment audits at the administrative level and the conduct of due diligence on the transfer of shares of stock and/or real properties. She represents clients across a range of industries including IT-business process management, hotel chains, construction, niche or high-end retail, manufacturing, and real estate, and regularly advises these clients on a wide array of commercial transactions.
Representative Work
- Assisted in conducting due diligence for a Japanese investor group in the acquisition of a hotel chain with presence across Southeast Asian countries, including studying, planning and implementing the multiple sale transactions and corporate reorganization
- Supervised and assisted in securing a more than ninety-seven per cent reduction in the amount assessed against a multi-billion-peso corporation following an audit conducted by the BIR
- Leads the team in providing general counsel and advice for a group of retail companies, including the due diligence for a potential sale involving a listed retail company and the corporate reorganization
- Assisted in the implementation of a complex multi-billion-peso restructuring plan and corporate reorganization of a Philippine conglomerate’s energy companies
- Assisted in the study and drafting of the legal opinion relating to the minimization of taxes for income earned from the Philippines and the US, including the implementation of the proposed legal tax-efficient scheme.
- Supervised and assisted in the due diligence of the acquisition of 100% equity owned by a client engaged in the business of creative process outsourcing, where the buyer is a US-based global leader in B2B marketing as a service (MaaS)
