Overview
Loy is a Senior Partner in the Corporate Practice Group. She has extensive experience in corporate and commercial M&A, capital markets, registration and listing of securities, corporate governance, and general corporate legal affairs for 20 years. Her experience also extends to areas such as cross-border project financing for renewable energy projects, public-private partnerships (PPP), government bidding, and various cross-border corporate transactions on leverage, negotiating and settling commitment, loan documentation, and investment grade transactions. She has experience in structuring high-profile, complex transactions involving multiple parties that require not only legal knowledge but strategic perspective and business insight. She sits as a member of the Board of Directors and acts as Corporate Secretary and Compliance Officer of various corporations.
Representative Work
- Advised and negotiated the settlement of loan commitments and the acquisition by a Japanese publicly listed company of a Labuan holding company that operates 13 hotels under a popular brand, which is considered as one of the largest limited-service hotel chains in the Philippines
- Advised the project proponents, structured the project finance, and negotiated with project lenders for a renewable energy project in Central Luzon undertaken by two Japanese publicly listed companies and their Filipino partners
- Advised the follow-on offering of shares in the Philippine Stock Exchange to raise PhP14 billion including the tax-free exchange share swap transaction to acquire majority shares in holding companies owning shares in a major power-industry player
- Advised in the acquisition of a mining company by a publicly traded company with a transaction size of US$82.5 million, which involved securing clearances from the Philippine Competition Commission
- Successfully entered into a compromise agreement between a mining company and the Philippine Mining Development Corporation for a dispute spanning over eleven (11) years with various legal issues reaching the Supreme Court and Court of Appeals for a mining property worth US$82.5 million
- Advised and submitted the feasibility study for the development, operation and maintenance of an Agri Importation Management (AIM) System in the Philippines and preparation of an unsolicited proposal in connection with the AIM System to the Bureau of Customs
- Advised the winning bidder and contractor for the proposed 19.37-kilometer six-lane elevated expressway in Metro Manila, with an estimated cost of PhP81.5 billion
- Advised the winning bidder for the supply of cyber security for the Philippine Health Insurance Corporation
- Advised A-list movie and entertainment personalities on wealth management, property transfers, tax planning studies, and high-level review of entertainment and endorsement contracts
