Overview 

Kaye is a member of the Firm’s Corporate Practice Group. Her practice focuses on corporate organization, corporate housekeeping, real estate transactions, special registration, intellectual property, and estate settlement. She has also assisted in mergers, acquisitions, and corporate restructuring.

Representative Work

  • Assisted in the incorporation, organization, and corporate housekeeping of various corporations, including the preparation and processing of regulatory filings and compliance requirements before various government agencies, such as the Securities and Exchange Commission (SEC), the Philippine Economic Zone Authority (PEZA), and the relevant Business Permits and Licensing Offices (BPLOs)
  • Assisted in merger notification and review process with the Philippine Competition Commission for the acquisition of shares in a corporation operating in a liquified petroleum gas (LPG) businesses
  • Assisted in the acquisition of various real estate properties, including the preparation and execution of transaction documents, payment of applicable national and local taxes before the Bureau of Internal Revenue and the relevant local government units, and the facilitation of the transfer and registration of titles with the Registry of Deeds
  • Assisted in the acquisition of shares of stock, including the preparation and execution of transaction documents and the facilitation of tax compliance requirements, including the issuance of the Certificate Authorizing Registration (CAR) by the Bureau of Internal Revenue
  • Assisted in the drafting of a Letter of a Tax Ruling with the Bureau of Internal Revenue
  • Handled various amendments to the Articles of Incorporation and By-laws of domestic corporations, including the preparation of corporate documents and the processing of regulatory filings before the Securities and Exchange Commission (SEC)
  • Assisted and handled various estate settlement matters, including the preparation of documentation and the completion of applicable tax and registration requirements for the transfer of estate assets
  • Assisted in research regarding the updating of masterplan of Bonifacio Global City
