Overview
Hannah’s practice focuses on corporate organization, foreign investment and special registration; corporate governance and compliance; mergers, acquisitions and corporate restructuring; capital markets and securities, real estate transactions and estate settlement and planning. She represents clients across a range of industries including telecommunications, renewable and non-renewable energy, wholesale/retail distribution, holding companies, BPOs, and publicly listed companies. She sits as a member of the Board of Directors and acts as Corporate Secretary of various corporations.
Representative Work
- Secured Certificates of Public Convenience and Necessity, as well as tax exemption and indorsements and registrations for different aircraft, for a corporation that has been granted a legislative franchise to operate air transportation services by Congress
- Assisted in the Follow-On Offering of a publicly listed company which has majority stake on energy transmission
- Headed the due diligence and acquisition of shares in liquified petroleum gas companies operating nationwide in the Philippines with a transaction value of at least PhP650 Million
- Assisted in securing multi-billion reduction in the amount assessed against a multinational corporation following an audit conducted by the Bureau of Internal Revenue
- Headed the successful application of a corporation for Contractor’s License with Philippine Contractors Accreditation Board (PCAB) and annual renewal of its PCAB License
- Handled the settlement and subsequent transfer of titles of real and personal properties and applications for estate tax amnesty for numerous multi-million peso estates
- Assisted in the preparation of Family Constitution/Agreement among family members with several co-owned properties and the estate planning of individuals who own various shares of stocks and multi-million peso real properties for the benefit of their legal heirs
- Advised and assisted companies in securing registrations and investment incentives with the Philippine Economic Zone Authority (PEZA) and the Board of Investments (BOI)
