Overview
Kish’s practice focuses on corporate restructuring, mergers and acquisitions, renewable energy projects, general corporate legal affairs, foreign investments, and bidding projects in her seven (7) years of practice. She has represented clients across a varied range of industries including entertainment, retail, e-commerce, banking and energy industries. She regularly assists clients in relation to incorporation, acquisition, due diligence, and cross-border projects. She sits as a member of the Board of Directors and acts as Corporate Secretary and Treasurer of various corporations.
Representative Work
- Assisted in the preparation of the successful bid through negotiated sale for a 650-megawatt power plant and its underlying land, with a winning bid of PhP3.123 Billion
- Advised the winning bidder for the supply of Cyber Security for the Philippine Health Insurance Corporation
- Assisted in the preparation of the bidding documents and requirements to provide ancillary services (dispatch reserve) in the Luzon Grid for a 130-megawatt power plant
- Assisted in the acquisition of shares of a renewable resources company providing supply of electric energy to the Power Sector Assets and Liabilities Management (PSALM) Corporation with a transaction cost of at least PhP250 Million
- Assisted in various transnational acquisition projects in connection with the business process outsourcing services of client
- Assisted in the feasibility study for the development, operation and maintenance of an Agri Importation Management System in the Philippines and preparation of an unsolicited proposal in connection with the System to the Bureau of Customs
- Assisted in the merger transaction of two (2) business processing outsourcing companies, including securing a Certificate of Non-Coverage from Compulsory Notification from the Philippine Competition Commission
- Advised on and assisted with the documentation and implementation of a venture capital investment into a pharmaceutical/medical distribution company
- Advised on the acquisition by a foreign company of a Philippine health care services firm ensuring compliance with restrictions on nationality and practice of profession
- Advised on the sale of a company with a Certificate of Authority to Operate as a Money Service Business with Money Changer / Forex Dealer Operations and Virtual Asset Service Provider, including the preparation and review of reportorial requirements submitted to the Bangko Sentral ng Pilipinas
