Overview
Pia is a member of the Corporate Practice Group. Her practice focuses on corporate organization and restructuring, foreign investment, and special registration, real estate transactions, as well as capital markets and securities. She represents clients across a range of industries including telecommunications, media, entertainment, broadcasting, technology, renewable and non-renewable energy, pharmaceuticals, wholesale/retail distribution, and holding companies. She sits as a member of the Board of Directors and acts as Corporate Secretary of various corporations. She is likewise a Compliance Officer for a publicly listed company.
Representative Work
- Headed a large-scale land acquisition and consolidation of real properties in connection with the unsolicited offer of a client in the air sector with a project cost of over P 700 Billion
- Advised the tax-free exchange share swap transaction to acquire majority shares in holding companies owning shares in the electric transmission company with a consequent participation in proceedings before the Philippine Competition Commission
- Assisted in the follow-on offering of shares in the Philippine Stock Exchange to raise PhP14Billion including the tax-free exchange share swap transaction to acquire majority shares in holding companies owning shares in the power industry
- Advised and assisted in securing the winning bidder for the supply of a mobile vehicle inspection facility for the Department of Transportation
- Advised the due diligence, acquisition and corporate restructuring of an entity engaged as a shipbroker and agent with a transaction price of USD1 Million
- Physical secondment to client’s office to assist in the office of the legal counsel
- Prepared a legal memorandum on the feasibility of setting-up of a carbon credit project in the Philippines
- Set-up and secure necessary permits, licenses, and registrations for an entity engaged in the business of cryptocurrency technology
- Planned and executed a tax-effective corporate restructuring and recapitalization plans of a chain of family-owned companies
- Advised and negotiated entertainment and endorsement contracts for high-profile producers and entertainment personalities
