Overview
Kris is a member of the Firm’s Corporate Practice Group. His practice focuses on intellectual property, real estate transactions, corporate organization, corporate restructuring, mergers and acquisition, and taxation. He represents clients across a range of industries including manufacturing, retail, distribution, financing, real estate leasing and development, consultancy, aviation, business process outsourcing, petroleum, and automotive. He has extensive experience in property acquisitions, trademark registrations, deficiency tax assessments, share purchases and transfers, corporate reorganizations, and estate settlement. He has represented clients before the Bureau of Internal Revenue, Court of Tax Appeals, Philippine Competition Commission, and Civil Aeronautics Board, among others. He regularly advises clients on corporate housekeeping, administrative, and tax matters.
Representative Work
- Headed a team which negotiated, conducted due diligence, and closed several properties involved in a land consolidation spanning about 1,500 hectares for a major build-operate-transfer project
- Advised and structured a multi-million dollar share sale transaction involving a corporation engaged in creative process outsourcing
- Advised and assisted on the implementation of a multi-million peso share transfer transaction involving a medical supply distribution company
- Headed a team that advised, conducted due diligence on, and closed several real estate projects in Cavite and Palawan for a potential entertainment and recreation enterprise
- Secured the extension of Temporary Operating Permits, and tax exemption indorsements and registrations for aircraft, for a corporation that has been granted a legislative franchise to operate air transportation services by Congress
- Advised and structured the acquisition and/or lease of several properties for right-of-way requirements for the construction, development, operation and maintenance of transmission lines for a solar power project
- Advised, structured and implemented a multi-level share acquisition of a petroleum company with a transaction size of PhP10 Billion
- Advised and implemented the share acquisition and rehabilitation proceedings involving a cement manufacturing company and its cement plant in Mindanao
- Advised and implemented the merger transaction of two (2) business processing outsourcing companies, including securing a Certificate of Non-Coverage from Compulsory Notification from the Philippine Competition Commission
- Advised on contractual and administrative matters for a hotel development project in Palawan
- Advised on and assisted with the documentation for a venture capital investment into a pharmaceutical/medical distribution company
