Overview
Vanec is part of the Corporate and Tax Practice Groups. She has over 16 years of extensive experience in corporation law and taxation, specializing in corporate organization, foreign investment and special registration, mergers and acquisitions, and corporate restructuring. She advises clients across diverse industries, such as but not limited to, business process outsourcing, infrastructure, gaming, telecommunications, media and technology, tourism, broadcasting, agriculture, energy and power. Her experience extends to legal due diligence, tax structuring, corporate financing through syndicated loan agreements and/or joint ventures, and post-acquisition corporate regularization. Vanec also has a background in estate planning and private wealth management, including drafting of family constitutions and wills, and estate settlements. She serves as a member of the Board of Directors and acts as Corporate Secretary for multiple corporations.
Representative Work
- Corporate M&A: Advised and structured the acquisition by a foreign company of a Philippine health care services firm ensuring compliance with restrictions on nationality and practice of profession; Advised and structured the implementation of a multi-level acquisition of an oil company by a publicly listed company with total assets of approximately P400 billion and a transaction size of P10 billion ; Advised and structured the acquisition by a US-based Chemical company founded in 1802 of a leading agricultural sciences company in the Philippines; Assisted in the sale of a multi-media company and production house to a Philippine media conglomerate;
- Telecommunications, Media and Technology: Advised and structured the transfer of controlling interest of a telecommunications company in compliance with regulatory restrictions and the company’s Congressional Franchise; Assisted and structured the consolidation of various companies owning telecommunication franchises sold to the two biggest telecommunications conglomerates in the Philippines; Advised and negotiated the sale of a company with a Certificate of Authority to Operate as a Money Service Business with Money Changer / Forex Dealer Operations and Virtual Asset Service Provider, including the preparation and review of reportorial requirements submitted to the Bangko Sentral ng Pilipinas; Advised and structured the sale of a foreign-owned subsidiary engaged in BIM and detailing business to another foreign entity, including setting up of its Regional Operating Headquarters; Advised, structured, and negotiated the Master Services Agreement for the provision of business management solutions to an airline company; Advised and assisted a production house in the review and negotiation of its various agreements with local and global media companies and brands
- Gaming: Advised the acquisition and restructuring of an integrated casino operator, including regulatory compliance; Advised, negotiated, and implemented the agreements between a real estate company and hotel operator for the construction and operation of an integrated casino in Pampanga
- Public-Private Partnerships and Government Projects: Advised on and supervised the preparation of bid documents for a foreign corporation’s bid to operate a mobile vehicle inspection facility for the Department of Transportation; Advised on and assisted in the documentation for a prospective bidder and contractor for a proposed bus rapid transit system within a strategic economic zone in Luzon; Advised the study and drafting of the Legal Opinion relative to the operation of an airport with the local government of Cebu; Advised on carbon credits trading in the Philippines
- Estate Planning and Private Wealth Management: Advised multi-generational families in structuring their assets for tax-efficient intergenerational transfers; Advised high-net-worth families on estate planning strategies, including drafting family constitutions and wills
